Payment Terms

Full payment is due upon commencement of the project.

Intellectual Property Rights:

Webdorks Pte Ltd (the “Contractor”) agrees to transfer all rights, including copyrights, patents, trade secrets, and trademarks, related to any work created under this Agreement to the “Client”. This transfer includes all materials or writings created by the “Contractor” during the contract period, whether solely or jointly with others after the final payment is made as stated in the invoice. The “Contractor” and its team also agree not to infringe upon any third-party intellectual property rights while fulfilling their obligations under this Agreement.

Confidentiality:

Both the “Client” and “Contractor” agrees to maintain confidentiality of all proprietary and sensitive information shared during the course of this project, in compliance with Singaporean laws and regulations.

Project Change Requests:

  • Change Requests. Either party may propose changes to the project scope, timeline, or costs ("Change Request"). Change Requests must be submitted in writing and specify the nature of the proposed changes, the reasons for the changes, and the anticipated impact on the project.
  • Review and Approval. Upon receiving a Change Request, both parties shall promptly review and evaluate the proposed changes. The "Client" shall approve or reject the Change Request in writing within 7 days of receipt. The "Contractor" shall promptly assess the feasibility, timeline adjustments, and any additional costs associated with the proposed changes.
  • Cost and Timeline Adjustments. If the Change Request is approved, both parties shall negotiate and agree in writing on any adjustments to the project's scope, timeline, and costs. Such adjustments may include, but are not limited to, changes in project milestones, deliverables, deadlines, and pricing. No changes will be implemented until mutually agreed upon in writing.
  • Impact on Project. Both parties shall recognize that approved Change Request may affect project timelines, deadlines, and costs. The "Contractor" will make reasonable efforts to minimize the impact on project progress while accommodating approved changes.
  • Documentation. All approved Change Requests shall be documented in writing and signed by both parties or acknowledged through email.
  • Effect on Payment. The "Client" agrees to pay for any additional costs resulting from approved Change Requests. The "Contractor" shall invoice the "Client" for such additional costs separately, and payment shall be subject to the payment terms outlined in the original agreement.

Indemnification:

The “Client” agrees to indemnify and hold “Webdorks” (the “Contractor”) harmless against any claims, losses, damages, liabilities, costs, and expenses, including legal fees, arising from or related to the “Client’s” use of the delivered work, including but not limited to any third-party claims of copyright infringement, trademark violations, or any other legal issues. The “Client’s” obligation to indemnify extends to any modifications or alterations made to the work by the “Client” or third parties.

Termination:

  • Either party may terminate this agreement for any reason by providing 14 days written notice to the other party. In such cases, Webdorks (the "Contractor") shall provide the "Client" with all work completed up to the termination date and invoice for any outstanding fees and expenses incurred up to that point. The "Client" shall pay all outstanding invoices within 14 days of the termination date.
  • Either party may terminate this agreement immediately upon written notice if the other party becomes insolvent, files for bankruptcy, or undergoes a change in ownership that adversely affects the performance of this agreement.
  • Upon termination of this agreement, the "Client" shall cease using any work or materials provided by the "Contractor" unless otherwise stated. The "Contractor" shall have no further obligations to the "Client". Any outstanding fees and expenses shall become immediately due and payable upon termination.

Dispute Resolution:

Any disputes or disagreements arising from this quotation/invoice shall be subject to mediation and, if necessary, arbitration in accordance with the laws and regulations of Singapore, with both parties agreeing to a mutually appointed mediator or arbitrator.

Deposit Policy:

Our non-refundable deposit signifies project initiation. If the transaction halts for reasons beyond our control, the deposit remains with us. Your understanding is appreciated.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

Acceptance:

By making payment for this quotation/invoice, the “Client” acknowledges and accepts the terms and conditions outlined herein. This agreement is deemed accepted upon payment.
